1. Definitions and Interpretation

1.1 In these Terms, unless the context otherwise requires:

1.2 Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa.

2. Acceptance of Terms

2.1 By accessing the Website, booking a consultation or accepting a Quotation, you agree to be bound by these Terms.

2.2 Where a Quotation contains terms that conflict with these Terms, the Quotation shall prevail to the extent of the conflict.

2.3 If you do not agree to these Terms, you must not use the Website or the Services.

3. Use of the Website

3.1 You shall use the Website only for lawful purposes and in accordance with these Terms.

3.2 You shall not: (a) attempt to gain unauthorised access to the Website, its servers or any connected systems; (b) introduce any malicious code; (c) interfere with the operation of the Website or its booking tools; or (d) reproduce, scrape or commercially exploit any part of the Website without prior written consent.

3.3 The content of the Website is provided for general information only and does not constitute professional, legal, tax or financial advice.

4. Engagement and Quotations

4.1 Each engagement is defined by a Quotation setting out the scope, deliverables, fees, timeline and payment schedule.

4.2 Unless otherwise stated, a Quotation is valid for fourteen (14) days from its date of issue.

4.3 Work outside the agreed scope constitutes a change request and will be quoted separately before commencement.

5. Fees and Payment

5.1 Fees are quoted in United States Dollars (USD), Singapore Dollars (SGD) or Australian Dollars (AUD). Where the Client is permitted to pay in another currency, the conversion rate stated on the invoice applies.

5.2 Unless otherwise stated in the Quotation, a deposit of fifty per cent (50%) is payable before work commences, and the balance of fifty per cent (50%) is payable upon final approval and before the deliverables are made live.

5.3 Fees for Licensed Solutions, maintenance and retainers are payable monthly in advance on the billing date stated in the Quotation.

5.4 All bank, transfer and payment-processing charges are borne by the Client.

5.5 The Business may suspend Services, withhold deliverables or disable access to a Licensed Solution where any amount remains unpaid fourteen (14) days after its due date, upon prior written notice to the Client.

6. Client Responsibilities

6.1 The Client shall provide accurate information, content, access credentials and approvals in a timely manner. Delays caused by the Client may extend the timeline accordingly.

6.2 The Client warrants that all materials it supplies are owned by it or properly licensed, and that their use by the Business will not infringe the rights of any third party.

6.3 Each project stage includes two (2) rounds of revisions. Additional revisions are chargeable at the Business’s prevailing rates.

7. Intellectual Property

7.1 Background IP. All Background IP remains the exclusive property of the Business at all times. Nothing in these Terms or any Quotation transfers ownership of Background IP to the Client.

7.2 Commissioned Deliverables. Upon receipt of full payment of all fees due under the relevant Quotation, the Business assigns to the Client all rights, title and interest in the Commissioned Deliverables, excluding any Background IP and Third-Party Materials incorporated therein.

7.3 Licence to Background IP within Commissioned Deliverables. To the extent any Background IP is incorporated into Commissioned Deliverables, the Business grants the Client a perpetual, non-exclusive, royalty-free licence to use such Background IP solely as part of those Commissioned Deliverables.

7.4 Licensed Solutions. All Licensed Solutions, including any configuration, customisation, module or feature developed for the Client, remain the exclusive property of the Business. Subject to payment of applicable fees, the Business grants the Client a non-exclusive, non-transferable, non-sublicensable licence to use the Licensed Solution for the Client’s internal business purposes for the term stated in the Quotation.

7.5 Restrictions. The Client shall not copy, modify, reverse engineer, decompile, resell, sublicense or create derivative works from any Licensed Solution or Background IP, or permit any third party to do so.

7.6 Client Data. The Client retains all ownership rights in Client Data. The Business shall use Client Data solely to provide the Services. Upon termination, and upon written request made within thirty (30) days, the Business shall provide the Client with an export of its Client Data in a commonly used format.

7.7 Third-Party Materials. Third-Party Materials are subject to their respective licence terms, which the Client agrees to comply with.

7.8 Portfolio. Unless the Client objects in writing, the Business may display Commissioned Deliverables and a general description of the Services in its portfolio and marketing materials, without disclosing any confidential information.

8. Confidentiality

8.1 Each party shall keep confidential all non-public information disclosed by the other party in connection with the Services, and shall use it only for the purposes of the engagement.

8.2 This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8.3 This clause survives termination of the engagement for a period of three (3) years.

9. Warranties and Disclaimers

9.1 The Business shall perform the Services with reasonable skill, care and diligence in accordance with generally accepted industry standards.

9.2 Except as expressly stated in these Terms, the Website and the Services are provided “as is”. The Business does not warrant that the Website, any deliverable or any Licensed Solution will be uninterrupted or error-free, or that the Services will achieve any particular commercial result.

9.3 Outputs generated by artificial intelligence features may contain inaccuracies. The Client is responsible for reviewing such outputs before relying on them.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special or consequential loss, including loss of profits, revenue, data or goodwill.

10.2 The total aggregate liability of the Business arising out of or in connection with any engagement shall not exceed the total fees paid by the Client to the Business under the relevant Quotation in the twelve (12) months preceding the event giving rise to the claim.

10.3 Nothing in these Terms limits liability for fraud, wilful misconduct or any liability that cannot be limited under applicable law.

11. Indemnity

11.1 The Client shall indemnify the Business against all claims, losses and costs arising from: (a) materials supplied by the Client; or (b) the Client’s use of any deliverable or Licensed Solution in breach of these Terms or applicable law.

12. Term, Suspension and Termination

12.1 Either party may terminate an engagement by written notice if the other party commits a material breach and fails to remedy it within fourteen (14) days of receiving written notice.

12.2 Licensed Solutions on a monthly basis may be terminated by either party with thirty (30) days’ written notice.

12.3 Upon termination: (a) the Client shall pay for all Services performed up to the termination date; (b) deposits are non-refundable once work has commenced; and (c) the Client’s licence to any Licensed Solution ends, subject to the Client’s right to export Client Data under Clause 7.6.

12.4 Clauses 7, 8, 10, 11 and 15 survive termination.

13. Force Majeure

13.1 Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, government action, power or internet outages, or failures of third-party service providers.

14. Changes to These Terms

14.1 The Business may amend these Terms from time to time. The amended Terms take effect upon publication on the Website. Engagements already in progress remain governed by the Terms in force when the Quotation was accepted, unless both parties agree otherwise in writing.

15. Governing Law and Jurisdiction

15.1 These Terms are governed by and construed in accordance with the laws of Malaysia.

15.2 The parties shall first attempt in good faith to resolve any dispute by negotiation within thirty (30) days. Failing resolution, the parties submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

16. General

16.1 These Terms, together with any Quotation, constitute the entire agreement between the parties regarding their subject matter.

16.2 If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.

16.3 No failure or delay in exercising any right constitutes a waiver of that right.

16.4 The Client may not assign its rights or obligations without the prior written consent of the Business.

16.5 Notices shall be given in writing by email to the addresses stated in the Quotation or, for the Business, to hello@yendyloh.com.
